The General Terms and Conditions of the M&M Intercom online shop are drawn up in accordance with the applicable regulations of the Republic of Slovenia, i.e. the Consumer Protection Act, the Personal Data Protection Act and other legislation.+ and apply to all users of the online shop. The General Terms and Conditions of Business set out the terms and conditions of use of the M&M Intercom online shop, the general terms and conditions of purchase through the online shop, the protection of personal data and other rights and obligations of the user and the provider. The Terms and Conditions may be updated at any time with new provisions, and the consumer is therefore urged to familiarise himself with them before making a purchase. By accessing the platform once, by registering on the online shop and confirming the order or by accessing it via a communication channel (e.g. Phone, or other social networks), the consumer accepts its provisions and articles.

The operator of the online shop is the company M&M Intercom Trade and Services, d.o.o., abbreviated company name: M&M Intercom, d.o.o., Letališka cesta 33f, 1000 Ljubljana, tax number: SI80312918, registration number: 1319051000, registered with the District Court in Ljubljana, under the serial number of the insert 1/30940/00 (hereinafter referred to as the provider).

By registering or using M&M Intercom's online shop, the user accepts the general terms and conditions set out below and confirms that he/she is aware of them and agrees to them in full.

 

1. Purpose

The purpose of these General Terms and Conditions of Business is to clearly define the terms and conditions of sale between the provider (M&M Intercom, d.o.o.) and the customer in the online shop. A buyer or consumer is understood as any natural or legal person who has made a purchase through the online shop of M&M Intercom, d.o.o.

The online shop of M&M Intercom, d.o.o. (hereinafter referred to as the Company) is intended for consumers, natural persons (B2C) and business users (B2B). Natural persons may use the online shop without prior registration in the system. Business users, on the other hand, have to register in the system via a form. By doing so, they obtain a username and password, which unambiguously define and link them to all the data and the agreed commercial terms.
The General Terms and Conditions form an integral part of the contracts concluded between the Customer and the Company. By signing a contract or otherwise entering into a contractual relationship, the customer fully agrees to the contents of the General Terms and Conditions and confirms that he/she is fully aware of the contents of the General Terms and Conditions.

 

2. Registration and Login

The new user registers in the online shop by entering all the required information via the "Sign up" link, confirming the General Terms and Conditions and clicking on the button to complete the first phase of registration. The Company shall not be held liable for the accuracy of the data entered by the User. Each user authorises the use of his/her personal data or the company's data for all the purposes of online ordering, i.e. for order fulfilment and direct communication. The user receives an activation link to his/her e-mail address, which is used to activate his/her "account". An already registered user accesses the online platform via an already entered and authorised e-mail address and password. It is the user's responsibility to ensure that only he or a person authorised to act on his behalf and with his password acts on his behalf. In the event of disagreement with the General Terms and Conditions, registration and purchase will not be possible.

With authorisation by the Company and activation of the account, the user may make purchases in the M&M Intercom online shop.

 

3. Prices and merchandise

All prices quoted are in Euro and include VAT. M&M Intercom reserves the right to change the prices of the goods offered without prior notice. Prices are valid at the time of placing the order for items in stock.For items not in stock, M&M Intercom reserves the right to change the price.
In the event that the price published in the online shop is incorrect or the price of the goods offered changes during the processing of the order, the provider shall allow the buyer to withdraw from the purchase. The amount of postage is not included in the price of the products. The prices of the products also do not include the delivery or postage costs, which are indicated when calculating the value of the order before the electronic confirmation of the order and further on the invoice. The delivery charge in the Republic of Slovenia for orders below €50 is €5.9, for orders above €50 the delivery is free of charge.

The Provider reserves the right to change technical descriptions and configurations without prior notice. Images are for symbolic purposes only and do not always fully reflect the actual condition or features of the product.
The validity periods of the promotion are indicated at the time of the promotion offer.

 

4. Order

Users and orders
The M&M Intercom online shop allows both natural and legal persons to make purchases. By selecting the desired product and clicking on the "Add to cart" button, the user starts the purchase process. The user can edit the selected products in the shopping cart, add or remove products and change the purchase quantity.

Offers made by the Seller are not binding on the Buyer until confirmed in writing by the Buyer. The Seller shall accept the Buyer's order only after the Seller's final written confirmation. The Seller's offers shall not be binding on the Buyer until confirmed in writing by the Buyer. The Seller shall accept the Buyer's order only after final confirmation in writing by the Seller. Oral quotations and orders shall not be binding. Confirmed orders may be cancelled or canceled by the Buyer without additional charges if the order has not yet been handed over to the delivery service and accompanied by the acceptance documents (delivery note, invoice). Otherwise, the Buyer shall be obliged to reimburse all costs incurred for the order up to the date of cancellation. The Buyer may cancel the contract in writing up to the date of dispatch of the goods, but in this case must pay the Seller the costs incurred up to the date of dispatch. The Buyer must also pay the Seller the cancellation fee if the Seller cancels the contract or the order due to the Buyer's fault.

Items ordered, manufactured or customised for the customer cannot be returned. In the event that the Buyer claims the goods to be faultless and wishes to return or exchange them, this is only possible with the Seller's consent, in which case we will charge handling and other costs for the goods.

Personal Data and Delivery
After completing the purchase, the user enters his/her personal data, delivery address and email address for shipment notifications. The user chooses the payment method (cash on delivery, pre-invoice, credit card or PayPal) and the delivery method (personal collection or delivery via GLS, GoldExpress, CityExpress). For parcels heavier than 50 kg, the delivery service is Gold Express.

Order Confirmation
At the order completion stage, the user confirms his/her acceptance of the General Terms and Conditions by clicking on the required box. Without confirming that the user agrees to the General Terms and Conditions, the user cannot proceed with the order. After successful order placement, the user will receive a notification of the successful purchase to the e-mail address provided by the company at the time of registration. The goods delivered are also accompanied by an accompanying document, i.e. an invoice, which is considered as a contract concluded between the provider and the consumer. The minimum order amount in the M&M Intercom online shop is €10.

 

5. Purchase security

The Provider uses SSL technology for the transmission of all user data, which ensures the encryption of all information sent with the user's orders. In the event that mandatory input fields are not completed, the system automatically detects the error and warns the user before the order is placed.

The user is responsible for access to his/her user account and will be responsible for the security of his/her user data and passwords. The user guarantees the accuracy and truthfulness of all data provided and is liable for damages caused by inaccurate or false data.
 

6. Accessibility of information

The Provider undertakes to provide the following information to the User at all times:

company information (company name, address, tax number, registration number and registration details),

contact details for fast and efficient communication,

the characteristics of the goods or services,

price of the goods or services, including VAT

possible delivery costs,

the details of the payment arrangements and the manner and time limit for delivery or performance, 

information to the consumer about the right to withdraw from the contract in accordance with Article 43 of the Consumer Protection Act and the conditions for withdrawal; in addition, if and how much it costs the buyer to withdraw from the contract,

information to the consumer about the right to withdraw from the contract in accordance with Article 43 of the Consumer Protection Act and the conditions for withdrawal,

The Seller and the Buyer undertake to treat all information contained in the contractual documentation and any other information concerning their cooperation as a business secret for the duration of the contractual relationship or the conclusion of the cooperation (purchase of goods). Trade secrets include: price lists, commercial and other terms and conditions of sale, conditions relating to sales promotion and advertising, invoices, purchase orders, letters, delivery notes, minutes, contract documents and any other information in tangible or intangible form. The infringer of a trade secret shall be liable for material and non-material damage. In the event that the Seller and the Buyer fail to reach an amicable solution, the Buyer and M&M Intercom, d.o.o. shall settle their disputes before the competent district court in Ljubljana.

 

7. Payment and Payment Terms

The User may choose between the following payment options:

cash (on collection), payment in cash is made on collection of the goods when the parcel is delivered to the desired address by the delivery service of the Post of Slovenia.

Invoice, payment by bank transfer to a TRR transaction account is possible upon prior creation of an invoice on the M&M Intercom webshop. It is recommended that the user informs the provider of the settled invoice by e-mail to the following address: [email protected] . In the event that the user fails to settle the invoice amount within three days, the order will be automatically cancelled and will no longer be valid.

by credit card: MasterCard, Visa or Discover-  when purchasing by debit card, the user must select the debit card with which he/she wishes to pay for the selected goods.

PayPal

PayPal terms and conditions are part of the commercial terms and conditions, which are defined by the contractual document and are tailored to the specific type of customer. The Buyer is contractually obliged to pay the full purchase price for the Goods within the agreed period. In the event that the Buyer fails to pay its obligations within the stipulated period, statutory default interest shall be charged, which shall be calculated in accordance with the Act on the Prescribed Interest Rate for Default Interest or other applicable regulations in the Republic of Slovenia. The Buyer is obliged to pay the invoice with interest within 8 days from the date of the invoice. Until the Buyer has made full payment for the Goods, the Goods shall remain the property of the Seller, notwithstanding that the Buyer has already taken delivery of the Goods ordered. The Goods shall remain the property of the Seller until the full purchase price for the Goods has been paid. Complaints made by the Buyer as to the quantity or quality of the Goods shall not alter the time for payment. Notwithstanding a complaint, the Buyer shall be obliged to pay for the Goods in full. Any reduction in the value of the payment or exemption from payment by the Buyer may only be granted by the Seller in accordance with the resolution of the complaint. In the event of a justified complaint, the payment period shall be amended and the time for delivery of the corresponding goods shall be extended accordingly. An unjustified complaint which is not settled by the Seller shall not alter the time limit for payment of the goods. The Buyer shall bear the costs of collecting payment.

 

8. Delivery and delivery time

Items that are in stock will be delivered within 1-3 working days from the day the order is finally confirmed and placed via the online shop. Delivery of ordered products will be made via GLS delivery service. For packages weighing more than 50 kg, delivery will be made by the most advantageous delivery service for us and the customer. Deliveries are usually made in the morning. In case the selected delivery date does not suit the customer, it is possible to change the date, time and address of delivery via the FlexDelivery Service. If the payment method chosen is pre-invoice, the goods will be dispatched by the Company upon receipt of a credit to the Provider's transaction account. In the event that the ordered product is out of stock, the user will be informed of the stock status by e-mail or by telephone.For products that are out of stock at a given moment, the delivery time will be increased accordingly, of which the user will be informed by e-mail or by telephone. In this case, the user has the right to withdraw from the order if the new delivery date does not suit the user. The out-of-stock product will be ordered immediately. In the event that several products have been ordered and one of them is out of stock, a partial delivery of the goods will be made (partly immediately, partly when stock permits), unless the user requests otherwise. In such a case, postage will only be charged once. If the supplier dispatches the ordered products on time, the supplier shall not be liable for any delivery time overrun by the contractual provider (Post Slovenije).

The Vendor reserves the right to extend the delivery time for reasons of force majeure (production stoppages) or other extraordinary and unforeseeable events, for the duration of the unforeseeable event. In the event of a delay in the delivery of the goods, the Buyer shall be entitled to fix a new delivery period within which the Seller shall deliver the goods.

The Buyer shall collect the Goods at the dispatch warehouse within five days of being notified that the Goods are ready for dispatch. If the Buyer fails to collect the Goods within 5 days, the Goods shall be sent at the Buyer's expense or the Goods shall be further stored. Storage costs shall be 0.1% of the value of the goods for each day of delay.

If the Buyer does not take delivery of goods which have been custom-made or ordered in accordance with the Buyer's individual requirements (e.g. custom cutting and welding of toothed belts, custom cutting of linear guides, custom technical plastics, etc.), the Seller shall give the Buyer first written notice to take delivery of the goods. In the event that the Buyer fails to take delivery of the ordered goods after 8 days from the receipt of the written warning, the Seller shall be entitled to charge the Buyer for the ordered goods at the applicable price list and to charge the Buyer for any additional costs of storage, processing or destruction of the goods. The risk of accidental destruction or damage to the goods and liability for damage shall pass to the Buyer from the moment of delivery of the goods. The Seller's liability shall end at the time when the Buyer signs the acceptance documents (delivery notes).

In the event of delay by the Buyer in taking delivery of the Goods, liability for any damage to the Goods or diminution in value of the Goods shall pass to the Buyer.

 

9. Warranty

The Supplier shall provide a warranty for the Products in accordance with the legislation of the Republic of Slovenia.

 

10. Return of goods or complaint

The Buyer shall have the right to notify the Provider in writing within fourteen (14) days of receipt of the Goods that he/she withdraws from the Contract, without giving any reason for the decision. The consumer may withdraw from the contract by an unequivocal statement clearly expressing his intention. The declaration may be sent by e-mail to [email protected] or by post to M&M Intercom, d.o.o., Letališka cesta 33f, 1000 Ljubljana.

The return period starts on the day after the day on which the goods are collected. The cost incurred by the buyer in withdrawing from the contract is the cost of returning the goods. The Buyer must return the Goods to the Supplier immediately after withdrawal, but no later than fourteen (14) days from the date of notification of withdrawal. The basis for the processing of the Buyer's complaint shall be the complaint e-notification form, which the Buyer shall fill in on the online shop. The mere return of goods without a completed electronic withdrawal note will not be valid. The goods must be returned undamaged, in the same quantity and in their original packaging. At the Seller's request, the Buyer is obliged to provide additional information for the processing of the complaint, samples of the goods or the complete goods. If the Buyer fails to provide the requested documentation, the Seller may reject the complaint. At the Buyer's request, the Seller is obliged to provide any additional information about the Goods, such as operating conditions, technical drawings, installation, etc. If the Buyer's complaint proves to be justified, the Seller undertakes to replace the goods complained of with other goods corresponding to the goods ordered or to refund the purchase price as soon as possible. The Buyer shall not be entitled to claim damages for consequential damages or loss of income and profits arising from the claims.When returning the goods, the Buyer shall enclose a copy of the invoice and details of the transaction account to which the Seller shall return the funds. The Provider will make the refund within fourteen (14) days of receipt of the withdrawal notice. The refund shall be made in accordance with the legal provisions of the Code of Obligations and the Consumer Protection Act.

 

11. Personal data protection

By registering in the M&M Intercom online shop, the user authorises the company M&M Intercom, d.o.o., Letališka cesta 33f, 1000 Ljubljana, as the controller of the personal data collection, to use and process the personal data provided in accordance with the provisions of the Personal Data Protection Act and for the purpose set out below.

The controller processes the personal data of the user entered in the registration form (natural person: first name, last name, address, post code, place, telephone or GSM - optional, e-mail address, password); legal person: first name, last name, telephone or GSM, tax number, e-mail address, password). The following information is also collected: information on purchases and accrued benefits: date of purchase, type of purchase, content of purchase, value of purchase, method of payment.  The Provider will use the personal data for the purpose of order fulfilment (transaction, invoicing, delivery of the product, everything related to the order) and other order-related and necessary communication. In case of any questions regarding the protection of personal data, the User may send them to the address Letališka cesta 33f, 1000 Ljubljana or by e-mail to [email protected]. The Provider undertakes to use and store all personal data obtained from the Customer, as well as information about the Customer's purchases and habits, in accordance with the provisions of the Personal Data Protection Act. The Provider directly collects the information provided by the Customer at the time of ordering. The Provider does not disclose this information to third parties or will only disclose it to third parties if the conditions set out in the Personal Data Protection Act are met. The product ordering and download pages are protected and appropriately technically or electronically secured. The buyer is also responsible for the protection of his/her personal data by ensuring the security of his/her username and password and by ensuring that his/her information system or electronic device is protected by appropriate software (anti-virus) protection.

 

12. Cookies

The following are used in the online shop: 

Technical cookies - these cookies are required on the M&M intercom website for the proper functioning of the website, and are as follows:

Session cookies, which are used to help the website remember user entries in online forms, shopping cart, etc. Such cookies are necessary for the site to remember and carry out the user's request.

Cookies for the purpose of analysing traffic - analytical cookies - (visitor count, identification of browsers and keywords leading to the site, navigation problems)

Google Analytics cookies, are used to monitor visits to the M&M Intercom online shop, to track sales and to monitor other user habits that are reflected on the M&M Intercom online shop.

In case the user would no longer allow the provider to use cookies on his/her computer, the user can change the settings at any time. On this tab, the user can choose whether or not to accept cookies being placed on his/her computer. If technical cookies are completely disabled on the M&M Intercom website (in the browser settings), it will not be possible to shop in the online shop or the user will not be able to use all the functions of the online shop and have a proper user experience.

 

13. Contract and archiving of contract

The contract is concluded when the provider confirms receipt of the order by sending an email to the email address provided. The contract shall be concluded in the Slovene language. 
The concluded contract between the user and the seller and copies of invoices shall be archived at the registered office of M&M Intercom, d.o.o, Letališka cesta 33f, 1000 Ljubljana. The User may obtain a copy by request by e-mail to: [email protected].

 

14. Final provisions

The Provider reserves the right to amend or modify the General Terms and Conditions at any time without prior notice. The Provider will inform the Users accordingly of any changes to the General Terms and Conditions. The appropriate method of notification shall be deemed to be the publication of the General Terms and Conditions on the website.  www.mm-intercom.si. The user agrees to the amendment of the General Terms and Conditions of Business if he/she continues to use the portal. The Provider endeavours to ensure that the information published on its pages is up-to-date and correct. However, the characteristics of the items, the delivery period or the price may change so quickly that the provider is not able to immediately correct the information on the website. In such a case, the provider will inform the user of the changes and give him the opportunity to cancel the order or to exchange the item ordered. Objections, comments, requests, declarations and complaints may be sent by e-mail to the e-mail address: [email protected]  or in writing to the address Letališka cesta 33f, 1000 Ljubljana. All disputes arising from the use of the online shop and from these General Terms and Conditions of Business, which cannot be resolved amicably between the Provider and the User, shall be subject to the jurisdiction of the Ljubljana Court of Justice. 

In accordance with the legal norms, we do not recognise any provider of out-of-court settlement of consumer disputes as competent to resolve a consumer dispute that a consumer may bring under the Act on Out-of-Court Settlement of Consumer Disputes. M&M Intercom, d.o.o.,  which as a provider of goods and services facilitates online trade in the territory of Slovenia, publishes on its website an electronic link to the platform for the online resolution of consumer disputes (SRPS). The platform is available to consumers at the link HERE.

These terms and conditions will come into force on 01.01.2024
